Company liquidation is the process of concluding a company's affairs, involving the investigation of past actions, sale of assets, and the equitable distribution of assets amongst creditors, and thereafter to shareholders.
The LLC company liquidation process:
1. Appointing a liquidator — either by shareholder resolution (voluntary liquidation) or court order (compulsory liquidation).
2. Notification of the competent authority and registrar — the managers, chairman and liquidator enter the dissolution in the Commercial Register with relevant documents.
3. Advertisement in the newspapers — the dissolution is published in two daily local newspapers, one issued in Qatar.
4. Obtaining a certificate of deregistration — after 45 days from advertisement, if no objections are received, the liquidator requests cancellation of the business license and the registrar issues a certificate of de-registration.
Types of company closure: Summary Winding Up (no liabilities, or able to discharge within 6 months), Creditors Winding Up (following a resolution and creditors' meeting), and Court Winding Up (under Qatar Commercial Transactions Law).
